Affiliate & Partner Programme — Terms & Conditions

These Terms and Conditions govern participation in the Toolbox Cleaning Co. Affiliate & Partner Programme (“Programme”).

By applying to, joining, accessing or participating in the Programme, you confirm that you have read, understood and agree to be bound by these Terms and Conditions.


1. About the Programme

1.1 The Programme is operated by Toolbox Cleaning Co. (“Toolbox”, “we”, “us” or “our”).

1.2 The Programme allows approved affiliates and partners (“Affiliate”, “you” or “your”) to promote Toolbox products using approved promotional materials, referral links, promotional codes and other methods authorised by Toolbox.

1.3 Subject to these Terms, Toolbox may pay commission on qualifying sales generated through your approved promotional activity.

1.4 Participation in the Programme does not create an employment relationship, partnership, joint venture, franchise, agency relationship or other relationship of legal representation between you and Toolbox.

1.5 You are an independent promoter and have no authority to:

  • enter into contracts on behalf of Toolbox;
  • make representations or warranties on behalf of Toolbox;
  • alter Toolbox prices;
  • promise discounts not authorised by Toolbox;
  • accept payments on behalf of Toolbox;
  • incur liabilities on behalf of Toolbox; or
  • represent yourself as an employee, agent or authorised representative of Toolbox.

2. Application and Approval

2.1 All applications are subject to approval by Toolbox.

2.2 Toolbox may refuse an application at its discretion where it reasonably considers that the proposed promotional activity, website, social-media presence, business model or other circumstances are unsuitable for the Programme.

2.3 Approval does not guarantee continued participation.

2.4 You must provide accurate, complete and current information when applying and throughout your participation.

2.5 You must notify Toolbox promptly if information supplied in your application materially changes.

2.6 You may not register multiple Affiliate accounts without Toolbox’s prior written approval.

2.7 Toolbox may require reasonable information to verify your identity, business, website, social-media account or promotional methods.


3. Eligibility

3.1 You must be legally capable of entering into these Terms.

3.2 Where you participate as a business, you confirm that you have authority to enter into these Terms on behalf of that business.

3.3 If you are under 18, you may not participate unless Toolbox expressly agrees otherwise in writing and applicable law permits such participation.

3.4 Toolbox may restrict Programme participation to particular territories, channels, customer types or promotional methods.


4. Affiliate Links and Tracking

4.1 Toolbox may provide you with unique affiliate links, tracking URLs, promotional codes, creatives or other tracking mechanisms.

4.2 Commission attribution is determined using Toolbox’s affiliate tracking system and associated records.

4.3 Toolbox does not guarantee that every click, visit or sale will be tracked successfully.

4.4 Tracking may be affected by, among other things:

  • cookies being blocked or deleted;
  • browser privacy settings;
  • device settings;
  • ad-blocking software;
  • customers using different devices;
  • customers navigating through another affiliate’s link;
  • technical failures;
  • customers declining applicable tracking technologies; or
  • other circumstances outside Toolbox’s reasonable control.

4.5 Where a sale cannot reasonably be attributed to an Affiliate through the Programme’s tracking system, Toolbox is not required to pay commission unless Toolbox independently determines that the sale should be credited to the Affiliate.

4.6 Toolbox’s reasonable determination of whether a transaction qualifies for commission will be final for Programme administration purposes, subject to any rights you may have under applicable law.


5. Qualifying Sales

A “Qualifying Sale” means a genuine customer transaction that:

a. results from your approved promotional activity;

b. is reasonably attributable to your affiliate link, approved promotional code or other approved tracking mechanism;

c. is completed by a genuine customer;

d. is not generated through prohibited activity;

e. is not cancelled, refunded, reversed, fraudulent or subject to a chargeback; and

f. complies with these Terms and any specific Programme rules communicated by Toolbox.


6. Commission

6.1 The applicable commission rate will be the rate displayed in your Affiliate account or otherwise communicated to you by Toolbox.

6.2 Commission is calculated on the qualifying transaction value specified by Toolbox and may exclude, where applicable:

  • VAT;
  • delivery charges;
  • refunds;
  • cancelled items;
  • chargebacks;
  • discounts;
  • promotional adjustments;
  • taxes;
  • fraudulent transactions; and
  • other amounts that Toolbox reasonably determines should not generate commission.

6.3 Toolbox may introduce different commission rates for different products, campaigns, affiliates or promotional periods.

6.4 Any special commission arrangement must be confirmed by Toolbox in writing.

6.5 Toolbox does not guarantee any minimum level of earnings, sales, traffic or commission.


7. Returns, Refunds and Chargebacks

7.1 Commission is only payable on genuine completed sales.

7.2 Where a customer subsequently:

  • cancels an order;
  • returns products;
  • receives a refund;
  • receives a partial refund;
  • disputes a transaction;
  • initiates a chargeback; or
  • otherwise causes the transaction value to be reversed,

the associated commission may be cancelled or deducted from future commission.

7.3 If commission has already been paid in respect of a transaction that is subsequently refunded or reversed, Toolbox may recover that commission by deducting it from future amounts payable.

7.4 Toolbox will not treat a legitimate customer exercising their statutory consumer rights as misconduct by the Affiliate.


8. Payment of Commission

8.1 Commission will be paid according to the payment method, payment threshold and payment schedule specified within the Programme.

8.2 Toolbox may delay payment where reasonably necessary to:

  • verify transactions;
  • investigate suspected fraud;
  • account for refunds and chargebacks;
  • resolve attribution disputes;
  • verify Affiliate information; or
  • comply with legal or regulatory obligations.

8.3 Toolbox will not intentionally withhold legitimately earned commission without reasonable grounds.

8.4 You are responsible for providing accurate payment information.

8.5 You are responsible for your own tax, National Insurance, VAT and other tax obligations arising from commission received, where applicable.

8.6 Toolbox does not provide tax advice.


9. Self-Referrals and Personal Purchases

This is one I’d definitely include.

9.1 Unless Toolbox expressly agrees otherwise in writing, you may not generate commission from purchases made by:

  • yourself;
  • your household;
  • your own business;
  • a business you own or control;
  • an account created primarily for the purpose of generating commission; or
  • any other person or entity where the transaction is primarily intended to generate commission rather than represent a genuine independent customer acquisition.

9.2 You must not purchase products through your own affiliate link for the purpose of obtaining commission.

9.3 Toolbox may cancel commissions associated with suspected self-referrals or related transactions.


10. Customer Discounts and Promotional Codes

10.1 Toolbox may provide approved discount codes for use by Affiliates.

10.2 Affiliates may only advertise discounts, offers and promotional codes that Toolbox has expressly authorised.

10.3 You must not:

  • create your own Toolbox discount codes;
  • modify an authorised discount;
  • claim a discount is available when it has expired;
  • combine discounts unless expressly authorised;
  • advertise a discount as permanent when it is temporary; or
  • represent a discount as being greater than the actual saving.

10.4 Toolbox may change, suspend or withdraw promotional codes at any time.

10.5 Unless expressly stated otherwise, promotional codes are subject to Toolbox’s applicable promotional terms.


11. Advertising and Disclosure

This is particularly important for your mechanics, trades and influencer partners.

11.1 You must comply with all applicable advertising, consumer-protection, data-protection and marketing laws and regulations.

11.2 You must comply with applicable ASA/CAP rules and guidance.

11.3 Affiliate content must be clearly identifiable as advertising where required.

11.4 Where appropriate, you should use clear labels such as:

or another disclosure that clearly communicates the commercial relationship.

11.5 Disclosures must not be hidden in hashtags, comments, profile pages, links or other locations where consumers are unlikely to notice them.

11.6 You must not falsely imply that your recommendation is independent where you receive commission from the resulting sale.

11.7 You must not make misleading, exaggerated, unsubstantiated or deceptive claims about Toolbox or its products.

The ASA specifically states that affiliate marketing falls within the CAP Code and that affiliates are effectively acting as secondary advertisers. (ASA)


12. Product Claims

You must not make claims about Toolbox products that Toolbox has not authorised or that you cannot substantiate.

This includes claims concerning:

  • performance;
  • safety;
  • chemical properties;
  • effectiveness;
  • environmental benefits;
  • biodegradability;
  • professional endorsements;
  • product certifications;
  • health effects;
  • financial savings;
  • comparative performance; or
  • suitability for particular applications.

You must not claim that a product is capable of performing a function where Toolbox has not represented that it is capable of doing so.


13. Prohibited Promotional Methods

Unless Toolbox gives prior written permission, Affiliates must not:

13.1 Brand bidding

Bid on Toolbox trademarks, brand names, product names or confusingly similar terms through Google Ads, Microsoft Ads or other paid-search platforms.

13.2 Domain names

Register domains containing “Toolbox Cleaning”, “Toolbox Cleaning Co.” or confusingly similar variations for the purpose of promoting the Programme.

13.3 Social accounts

Create social-media accounts that impersonate Toolbox or could reasonably be mistaken for official Toolbox accounts.

13.4 Email spam

Send unsolicited bulk emails promoting Toolbox.

13.5 Messaging spam

Send unsolicited promotional messages through WhatsApp, Messenger, SMS, Discord, Telegram or similar services.

13.6 Misleading redirects

Use cloaking, forced redirects, hidden frames or other techniques intended to disguise the source or destination of affiliate traffic.

13.7 Cookie stuffing

You must not artificially place, refresh, manipulate or otherwise generate affiliate tracking cookies without a genuine user interaction.

13.8 Forced clicks

You must not force, incentivise or manipulate users into clicking affiliate links where the click does not represent genuine interest.

13.9 Fake traffic

You must not generate traffic using bots, automated software, click farms, purchased traffic of unknown origin or other artificial methods.


14. Coupon and Deal Websites

Unless Toolbox expressly permits it, Affiliates must not submit Toolbox promotional codes to:

  • coupon websites;
  • voucher websites;
  • deal aggregators;
  • cashback websites;
  • browser extensions;
  • discount-code databases; or
  • similar services.

This is worth having because otherwise an affiliate can potentially distribute a code that wasn’t intended for that channel and interfere with attribution.


15. Paid Advertising

15.1 Affiliates may not run paid advertising campaigns promoting Toolbox unless Toolbox has authorised the activity.

15.2 Where paid advertising is authorised, Toolbox may impose additional requirements concerning:

  • keywords;
  • advertising copy;
  • bidding;
  • landing pages;
  • trademarks;
  • geographic targeting;
  • negative keywords;
  • campaign structure; and
  • advertising platforms.

15.3 Toolbox may withdraw permission for paid advertising at any time.


16. Brand and Intellectual Property

16.1 Toolbox grants you a limited, non-exclusive, revocable and non-transferable licence to use approved Toolbox marketing materials solely for promoting Toolbox through the Programme.

16.2 You must not modify Toolbox logos or brand assets without permission.

16.3 You must not:

  • register Toolbox trademarks;
  • create confusingly similar logos;
  • imply ownership of Toolbox intellectual property;
  • sell Toolbox marketing materials;
  • sublicense Toolbox materials; or
  • use Toolbox assets for unrelated purposes.

16.4 All intellectual property belonging to Toolbox remains the property of Toolbox or its respective licensors.

16.5 The licence granted under this section automatically ends when your Programme participation ends.


17. Affiliate Creatives

17.1 Affiliates may use creatives supplied through the Programme provided they comply with any instructions attached to those creatives.

17.2 Affiliates must not materially alter approved creatives without permission.

17.3 Toolbox may replace, update or withdraw creatives at any time.

17.4 Where a creative contains an offer, price or promotional code, Affiliates are responsible for using the current version supplied by Toolbox.


18. Social Media

Affiliates must comply with the rules of each social-media platform they use.

You must not:

  • impersonate Toolbox;
  • create misleading profiles;
  • make false reviews;
  • manipulate engagement;
  • purchase fake followers for the purpose of representing influence;
  • use prohibited automated messaging;
  • engage in harassment;
  • promote Toolbox alongside illegal or offensive material in a manner that could reasonably damage Toolbox’s reputation; or
  • make misleading statements about Toolbox.

19. Reviews and Testimonials

19.1 You must not create, commission or submit fake reviews of Toolbox products.

19.2 You must not encourage customers to provide positive reviews in circumstances where doing so would be misleading or unlawful.

19.3 You must not present a paid or commission-based endorsement as an independent customer review.

19.4 Any personal experience you describe must be genuine.

This is an area where the CMA has specifically highlighted fake reviews and consumer-protection requirements. (GOV.UK)


20. Competitor Comparisons

You may compare Toolbox products with competitor products only where the comparison is:

  • truthful;
  • accurate;
  • capable of being substantiated;
  • not misleading;
  • based on reasonably comparable products; and
  • compliant with applicable advertising law.

You must not make unsupported statements such as:

“The UK’s best cleaning product”

or

“Better than every competitor”

unless the claim can legally and objectively be substantiated.


21. Customer Data and Privacy

21.1 Affiliates must comply with applicable data-protection and privacy laws.

21.2 You must not provide Toolbox with customer personal data unless Toolbox has expressly requested it and you have a lawful basis for doing so.

21.3 You must not collect personal information from customers on behalf of Toolbox without appropriate authorisation.

21.4 You must not use customer information obtained through your affiliate activities for unrelated marketing purposes unless legally permitted and appropriately consented to.

21.5 You must not attempt to access, obtain or disclose customer information held by Toolbox.

21.6 You must maintain appropriate security for personal information you collect or process.

Toolbox’s Privacy Notice should sit alongside these Terms rather than attempting to put all data-protection information into the affiliate agreement. UK data-protection guidance requires transparent privacy information when personal data is collected, including information about why it is processed, retention and sharing. (ICO)


22. Cookies and Tracking

22.1 Where your promotional activity involves cookies, pixels, tracking technologies or similar technologies, you must comply with applicable law and platform requirements.

22.2 You must not deploy tracking technologies in a manner designed to deceive, manipulate or track users unlawfully.

22.3 You must not use tracking technologies on websites you control for purposes unrelated to the Programme without appropriate legal authority.

22.4 Toolbox may suspend tracking or terminate Programme participation where it reasonably believes tracking activity creates legal, regulatory or reputational risk.

The ICO’s current guidance confirms that rules can apply not only to cookies but also to tracking pixels, link decoration, local storage, fingerprinting and similar technologies. (ICO)


23. Fraud and Abuse

Toolbox takes suspected fraudulent activity seriously.

Examples include:

  • fake orders;
  • stolen payment methods;
  • self-referrals;
  • artificial traffic;
  • bot traffic;
  • fake clicks;
  • click manipulation;
  • cookie stuffing;
  • false identities;
  • duplicate accounts;
  • manipulated attribution;
  • deliberately cancelled orders;
  • fraudulent chargebacks; or
  • any scheme designed primarily to generate commission without genuine customer acquisition.

Toolbox may suspend an Affiliate account while an investigation is undertaken.

Where fraud or deliberate abuse is established, Toolbox may cancel associated commissions and terminate the Affiliate’s participation.


24. Intellectual Property Infringement

You must not use third-party:

  • trademarks;
  • photographs;
  • videos;
  • music;
  • text;
  • logos;
  • software;
  • designs; or
  • other intellectual property

without appropriate permission or a lawful licence.

You are responsible for ensuring that content you publish does not infringe third-party rights.


25. Reputation and Conduct

You must not deliberately engage in conduct that could reasonably cause serious reputational damage to Toolbox.

This includes falsely representing Toolbox, publishing knowingly false allegations about Toolbox, impersonating Toolbox staff, or associating the Toolbox brand with unlawful activity.

This clause does not prevent you from making genuine complaints, reporting unlawful conduct, exercising legal rights or expressing honest opinions where permitted by law.


26. Confidentiality

You must keep confidential any non-public information provided by Toolbox, including:

  • unpublished products;
  • pricing arrangements;
  • commission arrangements;
  • internal Programme information;
  • customer information;
  • marketing plans;
  • private promotional materials; and
  • other commercially sensitive information.

This obligation does not apply to information that:

a. is already publicly available through no breach of these Terms;

b. you independently developed without using confidential information; or

c. you are legally required to disclose.


27. No Guarantee of Programme Availability

Toolbox does not guarantee that:

  • the Programme will operate continuously;
  • tracking will always function without interruption;
  • particular products will remain available;
  • commission rates will remain unchanged;
  • promotional materials will remain available; or
  • the Programme will continue indefinitely.

Toolbox may temporarily suspend Programme functionality for maintenance, security, technical or operational reasons.


28. Changes to the Programme

Toolbox may reasonably change:

  • commission rates;
  • qualifying products;
  • promotional codes;
  • tracking methods;
  • payment thresholds;
  • Programme rules;
  • available creatives; and
  • other Programme features.

Where a change materially affects an Affiliate’s existing rights or obligations, Toolbox will provide reasonable notice where appropriate.

Changes will not retrospectively invalidate commission that has already become properly payable, except where adjustment is necessary because of refunds, fraud, chargebacks, error or other legitimate reasons.


29. Suspension

Toolbox may suspend an Affiliate account where it reasonably suspects:

  • breach of these Terms;
  • fraudulent activity;
  • unlawful activity;
  • misleading advertising;
  • abuse of tracking;
  • reputational risk;
  • security concerns; or
  • activity that may expose Toolbox to legal or regulatory risk.

During suspension, Toolbox may temporarily withhold commission reasonably connected to the investigation.

Toolbox will seek to resolve legitimate issues without unnecessary delay.


30. Termination

30.1 Either party may terminate participation in the Programme.

30.2 Toolbox may terminate an Affiliate’s participation immediately where the Affiliate:

  • commits fraud;
  • deliberately abuses the Programme;
  • materially breaches these Terms;
  • engages in unlawful marketing;
  • repeatedly violates advertising rules;
  • impersonates Toolbox;
  • misuses Toolbox intellectual property; or
  • creates serious legal, security or reputational risk.

30.3 Upon termination, you must immediately stop:

  • using affiliate links;
  • using Toolbox promotional codes for affiliate purposes;
  • displaying Toolbox creatives;
  • using Toolbox trademarks under the Programme licence; and
  • representing yourself as a Toolbox Affiliate.

30.4 Legitimate qualifying commission earned before termination remains payable subject to these Terms, including applicable refund and chargeback periods.

30.5 Toolbox may cancel commission associated with fraudulent, invalid or prohibited activity.


31. Indemnity

To the extent permitted by law, you agree to reimburse Toolbox for reasonable losses, liabilities, costs and expenses arising directly from your:

  • breach of these Terms;
  • unlawful advertising;
  • infringement of third-party intellectual property;
  • misuse of Toolbox intellectual property;
  • fraudulent activity;
  • deliberate misuse of the Programme; or
  • unauthorised representations made on behalf of Toolbox.

This provision does not apply to losses caused by Toolbox’s own negligence, fraud or unlawful conduct.


32. Limitation of Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful.

Nothing in these Terms affects any statutory rights that cannot legally be excluded.

Subject to the above, Toolbox will not be responsible for indirect or consequential losses arising from participation in the Programme, including loss of anticipated profits or business opportunities, except where such liability cannot lawfully be excluded.

Nothing in these Terms makes an Affiliate responsible for Toolbox’s own unlawful conduct or negligence.


33. No Partnership or Agency

Nothing in these Terms creates:

  • a partnership;
  • employment relationship;
  • franchise;
  • joint venture; or
  • agency relationship.

You must not represent otherwise.


34. Assignment

You may not transfer your Affiliate account or rights under these Terms to another person without Toolbox’s prior written approval.

Toolbox may transfer or restructure the Programme or its rights and obligations as part of a business sale, restructuring or corporate transaction, provided this does not unlawfully reduce your rights.


35. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it lawful where legally possible.

The remaining provisions will continue to apply.


36. Waiver

A failure by Toolbox to enforce a provision of these Terms does not constitute a waiver of its right to enforce that provision later.


37. Entire Agreement

These Terms, together with any specific written Programme terms, commission arrangements and applicable policies supplied by Toolbox, constitute the agreement governing your participation in the Programme.


38. Governing Law and Jurisdiction

These Terms are governed by the laws of England and Wales, unless applicable mandatory law requires otherwise.

The courts of England and Wales shall have jurisdiction, subject to any mandatory legal rights available to an individual or business under applicable law.


Affiliate acceptance

By registering for or participating in the Toolbox Cleaning Co. Affiliate & Partner Programme, you confirm that:

  • you have read and understood these Terms;
  • the information you have supplied is accurate;
  • you will comply with applicable advertising and consumer-protection requirements;
  • you will clearly disclose your commercial relationship with Toolbox where required;
  • you will only use authorised promotional materials and offers;
  • you will not manipulate tracking or generate fraudulent transactions; and
  • you agree to these Terms as a condition of participating in the Programme.
